These Terms and Conditions apply to any use of the Marketsniffr platform, the website www.marketsniffr.com and all associated applications and services (hereinafter collectively referred to as the "Platform").
The Platform is offered by Stedra BV, with registered office at Groenstraat 86, B-1740 Ternat, registered with the Crossroads Bank for Enterprises under number BE0884911501, hereinafter referred to as "Marketsniffr".
By accessing the Platform, creating an account or using the services, the user declares to have read, understood and accepted these Terms and Conditions without reservation. If the user does not agree to these Terms and Conditions, they must immediately cease all use of the Platform.
These Terms and Conditions apply exclusively to professional users (B2B).
Marketsniffr reserves the right to amend these Terms and Conditions at any time. The amended terms take effect upon publication on the Platform.
By continuing to use the Platform after an amendment, the user is deemed to have accepted the updated terms.
Marketsniffr is a software-as-a-service (SaaS) platform that provides companies with financial, market and competitive intelligence, benchmarking, analyses, scores and visualisations.
The information provided via the Platform is based on publicly available data, external data sources and proprietary models, including statistical, mathematical and AI-driven methods. This information always constitutes a snapshot and is indicative in nature.
The information, analyses and output made available via the Platform do not constitute legal, financial, fiscal, investment, marketing or strategic advice. Marketsniffr does not guarantee that the information provided is complete, error-free or current, and cannot be held liable for decisions made by the user or third parties based on this information.
Access to and use of the Platform is strictly limited to the internal professional purposes of the user.
It is not permitted to systematically consult, reuse, distribute, commercialise or resell the Platform or the information obtained via it, nor to use it as a data source for one's own products or services.
The use of software, scripts, bots or other automated systems to collect, scrape, crawl or harvest data from the Platform is expressly prohibited. The Platform may also not be used for the training, validation, refinement or testing of AI models or other automated systems.
The availability of functionalities, the number of projects, analyses, dashboards and the permitted storage capacity depend on the subscription chosen by the user, as described on the Platform or in the associated documentation.
Marketsniffr reserves the right to modify the composition, limits and functionalities of its subscriptions.
If the user changes their subscription to a plan with lower usage limits, the user is solely responsible for reducing the number of projects, data and data volume so that these fall within the limits of the new subscription. If these limits are exceeded, Marketsniffr may restrict functionalities, make projects or data inaccessible or delete them, without any liability and without any obligation to restore.
If a free version or trial period is offered, it is limited in functionality and storage capacity. Retaining projects or data in a free version is not possible if no storage space has been provided for this purpose. When transitioning to a free version, projects and data may be deleted in whole or in part.
Marketsniffr reserves the right to suspend or terminate access to the Platform, in whole or in part, without prior notice, if the user breaches these Terms and Conditions, misuses the Platform, fails to meet payment obligations or uses the Platform in a manner that compromises its proper functioning, security or integrity.
A suspension or termination of access does not give rise to any right to compensation.
The user may cancel their subscription at any time via the Platform or in writing.
Whether by cancellation or termination, this always takes effect at the end of the current billing period.
Amounts already paid will not be refunded under any circumstances, regardless of the date or reason for cancellation. No pro-rata refunds are granted.
Within the limits of their subscription, the user may use the export functionalities to download their data, projects and analyses. The user is solely responsible for the timely export, storage and security of their data.
Marketsniffr is not an archiving or backup system and has no retention obligation with regard to user data. Marketsniffr cannot be held liable for the loss, damage or deletion of data, regardless of the cause.
After termination of the subscription, the user may export their data for a limited period. After this period, Marketsniffr reserves the right to permanently delete all data, without any obligation to restore or retain it.
The user remains solely responsible for compliance with statutory retention periods and internal compliance obligations relating to their data.
The user acknowledges and accepts that Marketsniffr may use anonymised and non-traceable data for statistical purposes, analysis, improvement of the Platform and optimisation of models, algorithms and performance.
This data contains no personal data and cannot in any way be traced back to an individual user or company.
All intellectual property rights relating to the Platform, the software, databases, models, scores, visualisations and content remain the exclusive property of Marketsniffr or its licensors.
Nothing in these Terms and Conditions may be interpreted as a transfer of intellectual property rights to the user.
The Platform is provided as is ("as is" and "as available"). Marketsniffr does not guarantee uninterrupted or error-free availability of the Platform.
Marketsniffr depends on internet connections, hosting services and third-party services and cannot be held liable for these.
Except in cases of intentional fault or gross negligence, Marketsniffr is not liable for any damage arising from or related to the use of the Platform, including but not limited to indirect damage, consequential damage, loss of profit, loss of data, loss of goodwill or damage arising from decisions made on the basis of information provided via the Platform.
In any event, the total liability of Marketsniffr is limited to the amount paid by the user during the twelve months preceding the damaging event.
Marketsniffr is not liable for failures in the performance of its obligations if these result from force majeure, including but not limited to failures at third parties, network problems, cyber incidents, government measures or other circumstances beyond its reasonable control.
If any provision of these Terms and Conditions proves to be wholly or partially invalid or unenforceable, the remaining provisions shall remain in full force and effect.
These Terms and Conditions are governed by Belgian law. The English-language courts of Brussels have exclusive jurisdiction to hear disputes.
